Item 5.03 Amendments to Articles of Incorporation or Bylaws.

On November 22, 2022, the Company filed with the Secretary of State of the State
of Delaware the Certificate of Amendment to the Certificate of Designations
(“Amendment”) connected as Exhibit 3.1 to this Current Report on Form 8-Okay and
integrated herein by reference. The Amendment elevated the variety of shares
of most popular inventory designated as Series A Preferred Stock from 4,300,000 to
5,000,000 shares.
